The terms of service in full

1. About these terms

These terms of service ('terms') govern your use of Avanti Account, the practice automation platform provided by Avanti Mind Ltd ('we', 'us'), and of the website at avantiaccount.com. They took effect on 26 October 2026 and apply from that date.

By creating an Avanti Account, by accepting an early-access arrangement under clause 4, or by subscribing to a paid plan, you agree to these terms. If you are agreeing on behalf of an accountancy practice or other organisation, you confirm that you have the authority to bind that organisation, and 'you' in these terms means that organisation.

The clauses are numbered so that you, your insurer or your own compliance team can cite one precisely. Please read these terms alongside our privacy policy and, where you are a subscribing practice, the Data Processing Agreement.

2. What the key words mean

  • Platform: the Avanti Account software, including the website, the application and any associated services.
  • Practice: the accountancy practice or organisation that subscribes to the platform.
  • User: an individual authorised by the practice to access the platform under a login.
  • Client data: personal and financial data about the practice's own clients that the practice uploads to or processes within the platform.
  • Subscription: a paid plan under which the practice uses the platform.
  • Early access: the pre-general-availability arrangement described in clause 4, under which access is granted individually rather than bought.

3. Who can use Avanti Account

Avanti Account is intended for use by accountancy practices and professionals operating in the United Kingdom. To use the platform you must be at least 18 years old and capable of entering into a binding contract.

When you create an account, you must provide accurate information and keep it up to date. You are responsible for the activity that takes place under your login and under the logins of your practice's users. You must keep authentication credentials secure. Multi-factor authentication is mandatory for every user and may not be disabled. If you believe an account has been accessed without authorisation, you must tell us promptly.

4. Early access

Avanti Account is not yet generally available, and paid subscriptions are not yet open. Access is currently granted by individual early-access arrangement, agreed with us directly. We do not offer a no-cost evaluation period, and there is no self-service sign-up.

An early-access arrangement may be varied or withdrawn on reasonable notice, and the platform may change materially while it is in early access. Clause 5 sets out the billing terms that will apply once paid subscriptions open; until you have agreed a paid subscription with us, no subscription fee is payable and no payment method is taken.

5. Paying for Avanti Account

This clause applies from the point at which you agree a paid subscription with us. Plans and prices are not yet published: we will publish them on our access page before paid subscriptions open. When they open, plans will be billed monthly or annually, in advance, in pounds sterling, exclusive of VAT, which is added where applicable.

  • Payment. Paid subscriptions are not open yet, and no payment is taken today. Once they open, subscriptions are billed through our payment provider, Stripe, and you authorise us to charge the payment method you provide for the recurring subscription fee.
  • Renewal. Subscriptions renew automatically at the end of each billing period, monthly for monthly plans, annually for annual plans, until cancelled.
  • Price changes. We may change subscription prices. We will give you reasonable advance notice of any change, and a change will take effect at your next renewal, not mid-period.
  • Usage above plan limits. Each plan will include monthly allowances, published with the prices. HMRC filing is not switched on yet, so no plan includes HMRC submissions until it is. The knowledge base is in build and, once it ships, is included free on every plan rather than metered. Where usage exceeds an allowance, additional document processing may be metered and charged on your next invoice, on the terms published with the prices. We will make your usage visible to you within the platform.
  • Late or failed payment. If a payment fails, we will attempt to take it again and notify you. If payment remains outstanding, we may suspend access until the account is brought up to date.

6. Ending your subscription

  • Monthly plans have no minimum term. You may cancel at any time; cancellation takes effect at the end of the current billing month, and you retain access until then.
  • Annual plans run for a twelve-month term. You may cancel renewal at any time; cancellation takes effect at the end of the current annual term.
  • Refunds. Subscription fees are generally non-refundable for the period already billed. We may, at our discretion, offer a refund in particular circumstances. This does not affect any statutory rights that apply.

On cancellation, you may export your data as described in clause 11 before access ends.

7. Using the platform responsibly

You agree to use the platform lawfully and only for legitimate accountancy practice purposes. You must not:

  • use the platform in breach of any applicable law or regulation;
  • upload content you do not have the right to process, or that is unlawful;
  • attempt to gain unauthorised access to the platform, to other practices' data, or to our systems;
  • interfere with or disrupt the platform's operation or security;
  • reverse engineer, copy or resell the platform except as the law expressly permits;
  • use the platform to send unsolicited communications or malicious content;
  • use automated means to access the platform other than through our supported API and within its terms.

We may suspend or terminate access where these rules are breached.

8. What the platform does, and does not, do

This is an important section. Please read it carefully.

Avanti Account provides computational assistance, automation and reference tools for an accountancy practice. It does not provide professional, accountancy, tax or legal advice, and it does not replace the professional judgement of a qualified accountant.

  • The platform may prepare draft returns, calculations and advisory analyses. These are working outputs to be reviewed by a qualified person. They are not, in themselves, professional advice.
  • No statutory return is submitted to HMRC, and no filing is made, except where a qualified user at the practice has reviewed and approved it. The practice is responsible for the accuracy of what it submits.
  • The platform's knowledge base and advisory tools surface information and run calculations; the application of that information to a client's circumstances, and the advice given to the client, remain the responsibility of the practice and its qualified professionals.
  • The practice remains responsible for its own regulatory and professional obligations, including its obligations to its professional body, its anti-money-laundering obligations, and its obligations as a data controller for its clients' data.

Avanti Account is a tool used by the professional. The professional remains the professional.

9. HMRC, Companies House and other connections

The platform connects, or is being built to connect, to third-party services, including HMRC, Companies House, Open Banking providers, and others. Filing to HMRC is not switched on yet. Your use of those connections is also subject to the terms and availability of those third parties. We are not responsible for the acts, omissions, availability or decisions of HMRC, Companies House, banks or other third parties.

We take reasonable care to integrate correctly with these services, but we cannot guarantee that a third-party service will always be available or will behave as expected.

10. Who owns what

  • The platform. Avanti Mind Ltd, and its licensors, own all intellectual property rights in the platform, including its software, design, content and knowledge base. We grant you a limited, non-exclusive, non-transferable right to use the platform for the duration of your subscription, in accordance with these terms. No other rights are granted.
  • Your data. You retain all rights in the data you and your practice put into the platform, including your client data. You grant us the limited rights necessary to host and process that data in order to provide the platform to you, as set out in these terms and the Data Processing Agreement.

11. Your data

Our handling of personal data is governed by our privacy policy. For client data that we process on a practice's behalf, the Data Processing Agreement between the practice and Avanti Mind Ltd applies, and the practice is the data controller.

You may export your practice's data from the platform, including client records, documents, engagements and communications, in a standard format. We will make a full export available to you on request and on cancellation, within the timescales set out in the Data Processing Agreement and consistent with the statutory data portability period.

12. Service availability

We work to keep the platform available and reliable, and we recognise that HMRC deadlines are non-negotiable. We avoid planned maintenance in the days before quarterly VAT and MTD deadlines and during Self Assessment season.

We do not, however, guarantee that the platform will be uninterrupted or entirely error-free. From time to time the platform may be unavailable for maintenance or for reasons beyond our reasonable control. Where we need to tell you about an interruption, we will contact you directly.

Support is provided according to your subscription plan, as described when plans and prices are published.

Any contractual service-level commitment will be confirmed here.

13. Our responsibility to you

Nothing in these terms limits or excludes our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud.

Subject to that:

  • We provide the platform with reasonable skill and care. We are not liable for losses that were not reasonably foreseeable, for losses arising from your own failure to review and approve the platform's outputs, or for losses arising from third-party services outside our control.
  • We are not liable for any penalty, interest or loss arising from a return, filing or figure that a qualified user reviewed and approved, the accuracy of submissions to HMRC, and the professional advice given to clients, remain the practice's responsibility.
  • No financial cap on our liability has been set. A specific limit on our total liability has not yet been agreed following legal review, and none is published here. Until one is, we do not rely on any contractual cap on our liability to you. If we later introduce one, we will publish it in this clause and give you notice of the change under clause 15.

14. Ending the agreement

  • You may end your subscription as set out in clause 6.
  • We may suspend or terminate your access if you materially breach these terms, for example, by breaching the acceptable use rules or by failing to pay, and, where the breach can be put right, you do not put it right within a reasonable period after we ask you to.
  • We may also terminate on reasonable notice if we cease to offer the platform.

On termination, your right to use the platform ends. You will have an opportunity to export your data as described in clause 11 before access is removed. Provisions that by their nature should survive termination, including intellectual property, liability and data provisions, continue to apply.

15. Changes to these terms

We may update these terms from time to time, for example, to reflect changes to the platform or to the law. When we make a significant change, we will update the effective date shown at the top of the page and notify account holders. Continuing to use the platform after a change takes effect means you accept the updated terms. If you do not accept a change, you may cancel your subscription as set out in clause 6.

16. Other terms

  • Entire agreement. These terms, together with the privacy policy and, for subscribing practices, the Data Processing Agreement, form the entire agreement between you and us regarding the platform.
  • Assignment. You may not transfer your rights or obligations under these terms without our consent. We may transfer ours as part of a reorganisation or sale of our business, without reducing your rights.
  • Severability. If any provision of these terms is found to be unenforceable, the rest of the terms continue to apply.
  • No waiver. A delay in enforcing these terms is not a waiver of our rights.
  • Third parties. No one other than you and us has any right to enforce these terms.

17. Law and jurisdiction

These terms, and any dispute arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are based in Scotland or Northern Ireland you may also bring proceedings in your local courts.
